- Definitions and Interpretation
- In these terms, the following definitions apply:
- "Company" refers to Whitegate Consulting Ltd.
- "Client" refers to the person or entity purchasing services from the Company.
- "Contract" means the agreement between the Company and the Client for the provision of services, incorporating these terms and conditions.
- "Services" means the consulting services offered by the Company.
- Headings do not affect the interpretation of these terms. References to statutes or statutory provisions include any amendments or replacements.
- In these terms, the following definitions apply:
- Scope of Services
- The Company agrees to provide the services detailed in the service agreement to the Client in accordance with these terms.
- Any changes to the services must be agreed upon in writing by both parties and may result in an adjustment to fees and timelines.
- Fees and Payment
- Fees for services are outlined in the proposal or invoice provided to the Client. Fees are subject to VAT where applicable.
- The Company will invoice the Client upon completion of services, or as otherwise agreed in writing. Payment is due within 21 days of the invoice date.
- The Client must notify the Company of any disputed charges within 14 days of the invoice date. Both parties will attempt to resolve disputes amicably.
- Intellectual Property Rights
- All intellectual property rights in materials provided or developed under the contract remain the exclusive property of the Company unless otherwise agreed in writing.
- The Company grants the Client a non-exclusive, non-transferable license to use the deliverables for their internal business purposes.
- Confidentiality
- Both parties agree to keep confidential all information disclosed by the other party and not to use or disclose it except as necessary to perform their obligations under the contract.
- This obligation does not apply to information that is public knowledge, was already known to the receiving party, or is required to be disclosed by law.
- Limitation of Liability
- The Company's total liability to the Client, whether in contract, tort (including negligence), or otherwise, shall not exceed the fees paid by the Client under this contract.
- The Company shall not be liable for any indirect, special, or consequential damages arising from or in connection with the services.
- The Client agrees to take reasonable steps to mitigate any loss or damage they may suffer.
- Termination
- The Contract is subject to a minimum term of 11 months from the commencement date. During this period, neither party may terminate the Contract without cause, except as provided below.
- After the initial 11-month term, either party may terminate the Contract by providing 30 days’ written notice to the other party.
- If either party terminates the Contract within the initial 11-month period, all fees for the entire 11-month term shall become immediately due and payable by the Client.
- Either party may terminate the Contract immediately by written notice if the other party breaches a material term of the Contract and fails to remedy the breach within 14 days of receiving written notice.
- Upon termination, the Client shall pay for all services rendered up to the termination date, including any outstanding fees as specified in Clause 7.3. The Company will cease providing services immediately upon termination.8. Data Protection
- Compliance
- Both parties will comply with all applicable data protection laws, including the UK GDPR, in relation to personal data processed under this contract.
- The Company shall process personal data only as necessary to perform the services and in accordance with the Client's instructions.
- Governing Law and Jurisdiction
- This contract shall be governed by and construed in accordance with the laws of England and Wales.
- The parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales to settle any disputes arising out of or in connection with this contract.
- Before resorting to litigation, the parties agree to attempt to resolve disputes through mediation, with a mediator to be appointed by mutual agreement.
- Miscellaneous
- This contract constitutes the entire agreement between the parties and supersedes any previous agreements, understandings, or representations.
- No amendment to this contract will be effective unless made in writing and signed by both parties.
- Neither party shall be liable for any delay or failure to perform its obligations if such delay or failure results from events beyond its reasonable control, including acts of God, war, or pandemics.
- All notices under this contract shall be in writing and delivered by hand, email, or registered post to the addresses specified in the contract.
